第1篇 中英對照房屋租賃合同
出租方(甲方)lessor (hereinafter referred to as party a) :
承租方(乙方)lessee (hereinafter referred to as party b) :
根據(jù)國家有關(guān)法律、 法規(guī) 和有關(guān)規(guī)定,甲、乙雙方在平等、自愿的基礎(chǔ)上,經(jīng)友好協(xié)商一致,就甲方將其合法擁有的 房屋出租 給乙方使用,乙方承租使用甲方房屋事宜,訂立本合同。
in accordance with relevant chinese laws, decrees and pertinent rules and regulations ,party a and party b have reached an agreement through friendly consultation to conclude the following contract.
一、 物業(yè)地址 location of the premises
甲方將其所有的位于_________省_________市_________區(qū)____________________________________的房屋及其附屬設(shè)施在良好狀態(tài)下出租給乙方___________使用。
party a will lease to party b the premises and attached facilities all owned by party a itself, which is located at __________________________________________________________ and in good condition for_____________ .
二、 房屋面積 size of the premises
出租房屋的登記面積為_________平方米(建筑面積)。
the registered size of the leased premises is_________square meters (gross size).
三、 租賃期限 lease term
租賃期限自_______年___月___日起至_______年___月___日止,為期___年,甲方應(yīng)于_______年___月___日將房屋騰空并交付乙方使用。

四、 租金 rental
1. 數(shù)額:雙方商定租金為每月人民幣_____________元整, 乙方以___________形式支付給甲方 。

2. 租金按_____月為壹期支付第一期租金于_______年_____月_____日以前付清以后每期租金于每月的______日以前繳納,先付后住(若乙方以匯款形式支付租金,則以匯出日為支付日,匯費由匯出方承擔(dān))。甲方收到租金后予書面簽收。
payment of rental will be one installment every month(s). the first installment will be paid before_______(month)______(day)__________(year). each successive installment will be paid _____________each month.
party b will pay the rental before using the premises and attached facilities (in case party b pays the rental in the form of remittance, the date of remitting will be the day of payment and the remittance fee will be borne by the remitter.) party a will issue a written receipt after receiving the payment.
3. 如乙方逾期支付租金超過十天,則每天以月租金的0.5%支付滯納金如乙方逾期支付租金超過十五天,則視為乙方自動退租,構(gòu)成違約,甲方有權(quán)收回房屋,并追究乙方 違約責(zé)任 。
in case the rental is more than ten working days overdue, party b will pay 0.5 percent of monthly rental as overdue fine every day, if the rental be paid 15 days overdue, party b will be deemed to have with drawn from the premises and breach the contract. in this situation, party a has the right to take back the premises and take actions against party b's breach.
五、 保證金 deposit
1. 為確保房屋及其附屬設(shè)施之安全與完好,及租賃期內(nèi)相關(guān)費用之如期結(jié)算,乙方同意于______年_____月_____日前支付給甲方保證金人民幣 _________元整,甲方在收到保證金后予以書面簽收。
guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, party b will pay _________to party a as a deposit before _____(month) _____(day) _______(year). party a will issue a written receipt after receiving the deposit.
2. 除合同另有約定外,甲方應(yīng)于租賃關(guān)系消除且乙方遷空、點清并付清所有應(yīng)付費用后的當(dāng)天將保證金全額無息退還乙方。
unless otherwise provided for by this contract, party a will return full amount of the deposit without interest on the day when this contract expires and party b clears the premises and has paid all due rental and other expenses.
3. 因乙方違反本合同的規(guī)定而產(chǎn)生的 違約金 、損壞 賠償金 和其它相關(guān)費用,甲方可在保證金中抵扣,不足部分乙方必須在接到甲方付款通知后十日內(nèi)補足。
in case party b breaches this contract, party a has right to deduct the default fine, compensation for damage or any other expenses from the deposit . in case the deposit is not sufficient to cover such items, party b should pay the insufficiency within ten days after receiving the written notice of payment from party a.
六、 甲方義務(wù) obligations of party a
1. 甲方須按時將房屋及附屬設(shè)施(詳見附件)交付乙方使用。
party a will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to party b for using.
2. 房屋設(shè)施如因質(zhì)量原因、自然損耗或災(zāi)害而受到損壞,甲方有修繕并承擔(dān)相關(guān)費用的責(zé)任。
in case the premise and attached facilities are damaged by quality problems, natural damages or disasters, party a will be responsible to repair and pay the relevant expenses.
3. 甲方應(yīng)確保出租的房屋享有出租的權(quán)利,反之如乙方權(quán)益因此遭受損害,甲方應(yīng)負(fù)賠償責(zé)任。
party a will guarantee the lease right of the premises. otherwise, party a will be responsible to compensate party b's losses.
七、 乙方義務(wù) obligations of party b
1. 乙方應(yīng)按合同的規(guī)定按時支付 定金 、租金及保證金。
party b will pay the rental, the deposit and other expenses on time.
2. 乙方經(jīng)甲方同意,可在房屋內(nèi)添置設(shè)備。租賃期滿后,乙方將添置的設(shè)備搬走,并保證不影響房屋的完好及正常使用。
party b may decorate the premises and add new facilities with party a's approval. when this contract expires, party b may take away the added facilities which are removable without changing the good conditions of the premises for normal use.
3. 未經(jīng)甲方同意,乙方不得將承租的 房屋轉(zhuǎn)租 或分租,并愛護(hù)使用該房屋如因乙方過失或過錯致使房屋及設(shè)施受損,乙方應(yīng)承擔(dān)賠償責(zé)任。
party b will not transfer the lease of the premises or sublet it without party a's approval and should take good care of the premises. otherwise, party b will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋,不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險物品。否則,如該房屋及附屬設(shè)施因此受損,乙方應(yīng)承擔(dān)全部責(zé)任。
party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise, party b will be responsible for the damages caused by it.
5. 乙方應(yīng)承擔(dān)租賃期內(nèi)的水、電、煤氣、電訊、收視費、等一切因?qū)嶋H使用而產(chǎn)生的費用,并按單如期繳納。
party b will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.
八、 合同終止 及解除的規(guī)定 termination and dissolution of the contract
1. 乙方在租賃期滿后如需退租或續(xù)租,應(yīng)提前兩個月通知甲方,由雙方另行協(xié)商退租或續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。
within two months before the contract expires, party b will notify party a if it intends to extend the leasehold. in this situation, two parties will discuss matters over the extension.
2. 租賃期滿后,乙方應(yīng)在當(dāng)天將房屋交還甲方任何滯留物,如未取得甲方諒解,均視為放棄,任憑甲方處置,乙方?jīng)Q無異議。
when the lease term expires, party b will return the premises and attached facilities to party a within days. any belongings left in it without party a's previous understanding will be deemed to be abandoned by party b. in this situation, party a has the right to dispose of it and party a will raise no objection.
3. 本合同一經(jīng)雙方簽字后立即生效未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲、乙雙方可另行協(xié)商。
this contract will be effective after being signed by both parties. any party has no right to terminate this contract without another party's agreement. anything not covered in this contract will be discussed separately by both parties.
九、 違約及處理 breach of the contract
1. 甲、乙雙方任何一方在未征得對方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途中止,則視為該方違約,雙方同意違約金為人民幣___________元整,若違約金不足彌補無過錯方之損失,則違約方還需就不足部分支付賠償金。
during the lease term, any party who fails to fulfill any article of this contract without the other party's understanding will be deemed to breach the contract. both parties agree that the default fine will be________________. in case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.
2. 若雙方在執(zhí)行本合同或與本合同有關(guān)的事情時發(fā)生爭議,應(yīng)首先友好協(xié)商協(xié)商不成,可向有 管轄權(quán) 的人民法院提起 訴訟 。本合同一經(jīng)雙方簽字后立即生效未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲、乙雙方可另行協(xié)商。
both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. in case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.
十、 其他 miscellaneous
1. 本合同附件是本合同的有效組成部分,與本合同具有同等法律效力。
any annex is the integral part of this contract. the annex and this contract are equally valid.
2. 本合同壹式貳份,甲、乙雙方各執(zhí)一份。

7.乙方若需要對租賃物業(yè)進(jìn)行裝飾裝修、制作外墻廣告等,必須經(jīng)過甲方的同意。
without the approval of party a,party b can’t decorate the premises ,make advertisement etc.on the outwall.
八、 合同終止 及解除的規(guī)定termination and dissolution of the contract
1.乙方在租賃期滿前如需退租或續(xù)租,應(yīng)提前兩個月通知甲方,由雙方另行協(xié)商退租或續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。

九、 違約及處理breach of the contract

十一、免責(zé)條件exception clause
1、因不可抗力原因致使本合同不能繼續(xù)履行或造成的損失,甲、乙雙方互不承擔(dān)責(zé)任。
in the event of the reason caused byforce majeuremake the contract not perform or probuct any loss,party a or party b will not bear the obligations each other.
2、因國家政策需要拆除或改造已租賃的房屋,給甲、乙雙方造成損失的,互不承擔(dān)責(zé)任。if the loss of both parties caused by remove or recontructive the premies due to national policies, party a or party b will not bear the obligations each other.
3、因上述原因而終止合同的,租金按照實際使用時間計算,不足整月的按實際天數(shù)計算。
in the event of the reason mentioned above, payment of rentalwill becounted at the actual months or actual days if it don’t reach a full month.
十二、其他others
1.本合同附件是本合同的有效組成部分,與本合同具有同等法律效力。

七、 乙方義務(wù) obligations of party b

3. 未經(jīng)甲方同意,乙方不得將承租的房屋轉(zhuǎn)租或分租,并愛護(hù)使用該房屋如因乙方過失或過錯致使房屋及設(shè)施受損,乙方應(yīng)承擔(dān)賠償責(zé)任。

party b shall pay the rent and all other amounts due and payable in rmb to the account designated by party a.
九、保證金:
deposit:
9.1 自本合同簽訂之日起 日內(nèi),乙方應(yīng)向甲方繳付相當(dāng)于個月的租金計人民幣元作為保證金及首期租金人民幣元,共計人民幣元。
withindays after the execution of this lease agreement, party b shall pay to party a a deposit in the amount of-month rent and the first rent rmb , totaling rmb.
9.2本合同期滿,如本合同不續(xù)租,甲方應(yīng)在期滿后三十(30)天內(nèi)返還保證金(不計利息)。如乙方因違約而導(dǎo)致違約金、賠償金、費用和/或乙方尚未支付任何應(yīng)付款項,甲方可從保證金中扣除此類違約金、賠償金、費用和/或未付款項。
upon expiration of the lease agreement, if the lease agreement is not to be renewed, party a shall refund the deposit without interest to party b within thirty (30) days after the expiration of this lease agreement. if there is any default penalty or compensation or expenses incurred due to the breach of party b and/or any due amount that party b fails to pay, party a may deduct such default penalty or compensation or expenses or due amount from the deposit.
9.3在本合同期限內(nèi),如有任何應(yīng)由乙方支付的違約金、賠償金、費用和/或其他應(yīng)付款項,甲方可直接從保證金中予以扣除,乙方應(yīng)在接到甲方書面通知后五(5)天內(nèi)補足該部分保證金。
during the lease term, if there is any default penalty, compensation or expense and/or any other due amount that shall be paid by party b, party a may deduct such amount from the deposit and party b shall, within five (5) days after party a so notifies.
十、大廈及承租區(qū)域的交付狀態(tài):

party a will deliver the premises at as-it-is basis, which satisfies the conditions as office.
十一、甲方的權(quán)利義務(wù):
party a’s rights and responsibilites:
11.1甲方在本租賃合同規(guī)定的期限內(nèi)將房屋交付乙方。
party a shall deliver the premises to party b within the term specified herein.
11.2甲方保證是房屋的合法權(quán)利人,有充分的權(quán)利出租房屋。
party a shall ensure that it is legal owner of the premises and have full right to lease the premises.
11.3甲方的權(quán)利保留party a may reserve the following rights.
11.3.1 使用公共設(shè)施;to use the public facilities;
11.3.2 進(jìn)入房屋內(nèi)對公共設(shè)施進(jìn)行檢查和維修。甲方行使該項權(quán)利時,應(yīng)提前通知乙方,緊急情況除外。
to enter into the premises for check and maintenance provided that party a shall inform party b in advance except under emergency.
11.3.3 在發(fā)出通知后(緊急情況除外),有權(quán)暫停大廈設(shè)施進(jìn)行維修和維護(hù),可能導(dǎo)致水電的中斷。甲方無需為此承擔(dān)責(zé)任。
to repair and maintain the facilities of the building which may result in the suspension of water and electricity, upon a notice (except under emergency) without any liability thereof.
11.4 甲方應(yīng)協(xié)助提供乙方提供辦理工商營業(yè)執(zhí)照所需相關(guān)證明文件。
party a shall assist party b in registering with industrial and commercial administration by provide necessary documents.
11.5甲方在承租期內(nèi)促使物業(yè)管理機(jī)構(gòu)提供水、電、空調(diào)、供暖及日常房屋維修。
party a shall procure the management department to provide water, electricity, air conditioning, heating and daily maintenance during the lease period.
11.6 如在租賃期屆滿前兩個月,乙方未提出續(xù)租請求,或者雖然提出續(xù)租請求,但雙方在三十天內(nèi)未就續(xù)租合同條款達(dá)成一致,甲方有權(quán)在工作時間帶領(lǐng)其他租戶進(jìn)入房屋查看。
if party b does not submit an application for renewal two months prior to the expiration of this lease agreement, or if party b submits such application but the parties fail to reach agreement on the renewal, party a shall have the right to enter the premises with other tenant at work hours to review.
十二、乙方的權(quán)利和義務(wù)
party b’s rights and responsibilites:
12.1 自行負(fù)責(zé)房屋的裝修和設(shè)施。
party b shall be responsible for the decoration and facilities of the premises.
除非經(jīng)消防局及甲方同意,乙方不得對房屋的主要結(jié)構(gòu)及裝置(包括煙感器及噴淋頭)作任何變動、拆除或調(diào)整。如乙方擅自做任何變動,應(yīng)負(fù)責(zé)將其恢復(fù)原狀并承擔(dān)一切費用和相關(guān)責(zé)任。
party b shall not alter, change, dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consents of party a and fire control authority. if party b makes any alteration, dismantle or adjustment as aforesaid, it shall be responsible for restoration and bear all expenses and related liabilities.
12.2乙方應(yīng)根據(jù)本合同第六、七、八條的規(guī)定按時繳納租金及各項相關(guān)費用。
party b shall pay the rent and other fees pursuant to clauses 6, 7, and 8 on time.
12.3乙方應(yīng)按本合同的規(guī)定合理使用房屋,并保持房屋的清潔。
party b shall reasonably use the premises as provided hereunder and keep it clean.
12.4未得到甲方及大廈管理機(jī)構(gòu)的事先同意,乙方不得在窗外、外墻、
公共走廊墻面、電梯間及其它共用區(qū)域懸掛、張貼、附置或以其它方式放置任何廣告、標(biāo)識、招貼或其它資料。
party b shall not hang, affix, or display any advertisement, signboard, poster or any other materials on outside window, outside wall, public aisle wall, elevator or other public area without the prior consents of party a and management department.
12.5 乙方在承租期內(nèi)不得將全部或部分房屋轉(zhuǎn)租、分租或借予第三方。
during the lease term , party b shall not sub-let or assign the lease to any third party.
12.6 乙方在其經(jīng)營活動中,不得宣稱或令顧客誤認(rèn)為其與甲方關(guān)系屬合作、合營、合伙、聯(lián)營或關(guān)聯(lián)企業(yè)關(guān)系。
party b shall not represent or otherwise mislead the customers that it has any cooperation, joint operation, partnership or affiliation relation with party a during its operation.
12.7乙方應(yīng)自行獲取依據(jù)法律法規(guī)和政府有關(guān)部門規(guī)定應(yīng)具備的所有許可、批準(zhǔn)和證照,保證其營業(yè)活動的合法性。
party b shall be responsible for obtaining all approvals, consents and licenses required by laws to ensure that its operation is legal.
12.8乙方應(yīng)自行承擔(dān)由于乙方工商注冊、稅務(wù)登記、遷址等行為所產(chǎn)生的稅、費。
party b shall be responsible for any and all taxes, fees and expenses incurred for its industrial and taxation registrations and moving into the premises.
12.9對于第三方因乙方對其造成或在房屋內(nèi)發(fā)生的人身傷害或經(jīng)濟(jì)損失而提出的索賠,乙方應(yīng)自行負(fù)責(zé)并保證甲方免于此類索賠。如甲方因此類索賠而遭受損失,乙方保證進(jìn)行賠償。
party b shall be responsible for and hold party a harmless against any claims raised by the customers for any personal injury and economic losses caused to the customers by party b or caused in the premises. party b hereby warranties that it shall indemnity party a for any losses caused to party a by such claims.
12.10乙方不得在房屋內(nèi)放置易燃、易爆的物品其他危險物品。
party b shall not keep or store in the premises any flammable or explosive substances or other dangerous substances.
12.11乙方應(yīng)嚴(yán)格遵守甲方和/或大廈物業(yè)管理機(jī)構(gòu)制定并不時修改的大廈所有管理規(guī)定。
party b shall strictly comply with all rules made and amended from time to time by party and/or the management department.
12.12 乙方不得在房屋內(nèi)從事任何違法活動。
party b shall not carry out any illegal activity in the premises.
12.13乙方不得將房屋用于除辦公以外的用途。
party b shall not use the premises for any purpose other than as office.
12.14若乙方以租賃房屋作為其公司注冊地址時,乙方應(yīng)在租賃合同終止后15日內(nèi)辦理地址注銷登記手續(xù),乙方逾期辦理的,應(yīng)每日按月租金千分之三的標(biāo)準(zhǔn)向甲方支付滯納金,造成甲方損失的,應(yīng)予以賠償。
if the premises is used as company’s registered address of party b, party b shall complete the procedures of writing off the registered address within 15 days after termination of the contract. if party b is not able to complete the procedures on time , it shall pay party a a penalty equal to 3‰ of the monthly rent per day of delay. party b shall compensate for such loss.
十三、違約責(zé)任與合同終止
breach and termination
13.1違約
任何一方違反合同給另一方造成損失的,應(yīng)當(dāng)進(jìn)行賠償。
if a party is in breach of this lease agreement, it shall compensate the other party for any losses cause by its breach.
13.2在下列任何情況下,本合同終止
this lease agreement will be terminated under any of the following conditions:
13.2.1租賃期限屆滿:
the expiration of this lease agreement
13.2.2 當(dāng)一方違反本合同中任何規(guī)定,并且另一方書面通知要求其予以糾正的三十(30)日內(nèi)未能糾正違約行為或者如果該違約是無法糾正的,守約方有權(quán)立即終止本合同。
by one of the parties, with immediate effect, when the other party is in breach of this lease agreement and such breach is not curable or is not remedied within thirty (30) days after the party not in breach sends a written notice requesting the cure of such breach;
13.2.3甲方可以提前六十(60)天的書面通知提前終止本合同,但應(yīng)雙倍返還乙方保證金。
party a may terminate this lease agreement with a sixty (60) day prior written notice provided that it shall refund the deposit in double amount.
13.2.4如乙方延期支付租金和/或其他各項款項超過十(10)日,甲方有權(quán)解除合同,保證金不予退還。乙方除應(yīng)支付延期款項外,還應(yīng)支付逾期付款違約金,數(shù)額延期支付金額的0.5%/日,直至乙方全額付清為止。
if party b delays the payment of rent and/or other amounts for ten (10) days, party a shall have the right to terminate this lease agreement and the deposit shall not be refunded. party b shall pay a default penalty for the overdue amount at the rate of 0.5% of the overdue amount per day until it pays in full amount, in addition to pay all the overdue amounts.
13.2.5 如乙方不遵守大廈管理規(guī)定并嚴(yán)重影響其他租戶正常經(jīng)營,甲方可以書面通知乙方提前終止本合同,并且保證金不予返還。
if party b does not comply with the management rules of the building and therefore seriously affects the normal operation of other tenants, party a may terminate this lease agreement in advance with a written notice and the deposit shall not be refunded.
13.2.6 如乙方在房屋內(nèi)從事任何違法活動或未按照辦公用途使用房屋,甲方有權(quán)立即書面通知乙方提前終止本合同,保證金不予返還。
if party b carries out any illegal activity in the premises or use the premises for other purpose than office, party a shall have the right to immediately terminate this lease agreement with a written notice and the deposit shall not be refunded.
13.2.7 如乙方將房屋分租或轉(zhuǎn)租第三方,甲方有權(quán)以書面通知立即終止合同,并且保證金不返還。
if party b sublets or assigns the lease to a third party, party a shall have the right to immediately terminate this lease agreement with a written notice and the deposit shall not be refunded.
13.2.8 不可抗力force majeure
一方因不可抗力事件連續(xù)六十天(60)不能履行義務(wù),任何一方可以書面通知終止本合同,在不可抗力的影響范圍內(nèi)受影響的一方不承擔(dān)違約責(zé)任。“不可抗力”包括自然災(zāi)害、爆炸、飛行物體墜落、政府行為(但專門針對受影響一方的行政行為除外)等受影響的一方不能預(yù)見、不能控制并且不可避免的事件。雙方在此明確但商業(yè)性風(fēng)險不應(yīng)作為不可抗力。受影響的一方應(yīng)在不可抗力事件發(fā)生后的五(5)日內(nèi)書面通知對方,并且應(yīng)附有有權(quán)機(jī)構(gòu)出具的不可抗力發(fā)生的證明。
either party may terminate this lease agreement with a written notice if one party is not able to perform its obligations hereunder for consecutive sixty (60) days due to force majeure. the affected party shall not bear the liability of breach of contract to the extent of the effect of the force majeure. force majeure shall include such events that the affected party is not able to foresee, control and avoid as natural disaster, explosive, falling of flying objects, government action (except those specially against the affected party) the parties hereby confirm that commercial risk shall not be deemed force majeure. the affected party shall notify the other party in writing of such force majeure event accompanying with the certification of the occurrence of the force majeure event issued by competent authority.
13.2.9一方進(jìn)入破產(chǎn)、清算、解散或任何類似程序,另一方可以終止本合同,但以善意管理費用或合并為目的的除外。
one party may terminate this lease agreement if the other party launches the bankruptcy, liquidation, winding up or any similar procedure other than for the purpose of a bona fide reconstruction or amalgamation.
13. 3 合同終止的后果 the result of the termination
13.3.1 如本合同屆滿并且未由乙方續(xù)租,乙方須于屆滿之日的17點之前騰空房屋;如本合同因任何原因提前終止,乙方應(yīng)于終止日后的三日內(nèi)騰空房屋。如乙方未能在此期間騰空房屋,由乙方應(yīng)按日支付房租,逾期十日以上(包括十日),乙方應(yīng)按雙倍房租支付。如因此給甲方造成經(jīng)濟(jì)損失(包括因未能向下一租戶及時交付房屋而導(dǎo)致的違約金和租金收入),還應(yīng)賠償損失。
if this lease agreement is expired without the renewal of party b, party b shall vacant the premises by 5pm on the date of expiration; if this lease agreement is terminated in advance for whatever reason, party b shall vacant the premises within three (3) days after the termination date. if party b fails to vacant the premises within the aforesaid period, it shall pay rent for each day of delay. if the delay is over ten (10) day (inclusive), party b shall pay the rent in double amount. if there is any economic loss caused to party a including the penalty for not delivering the premises to next tenant on time and rent loss, party b shall compensate such loss.
13.3.2乙方還應(yīng)拆除裝修和清理房屋(甲方同意保留裝修的除外),以甲方交付之時的狀態(tài)或雙方共同認(rèn)可的狀態(tài)將房屋交還甲方(正常損耗除外)。歸還房屋時留在房屋內(nèi)的所有設(shè)施、裝修及物品均視為乙方放棄所有權(quán),甲方可隨意處置。如乙方未將房屋恢復(fù)原狀,甲方可自行恢復(fù)原狀,乙方需支付全部費用,可由甲方從保證金中扣除。
party b shall also dismantle the decoration (except for the decoration that party a agrees to retain)and clean the premises so that the premises will be returned to party a in the same condition as when delivered to party b or (fair tear and wear is excepted). party b shall be deemed waiving the title of all facilities, decoration and staff left the premises when the premises is returned to party a and party a may dispose them in any way. if party b fails to restore the premises to the condition of delivery, party a may restore the premises to the condition of delivery and party b shall bear all expenses thereof, which may be deducted from the deposit by party a.
13.3.3除因乙方違約造成合同終止的情況以及本合同有不同規(guī)定的情況以外,甲方應(yīng)將保證金返還乙方。
party a shall refund the deposit to party b except the termination is caused by the breach of party b and otherwise provided hereunder.
13.3.4 乙方應(yīng)支付全部應(yīng)付費用,包括房租、水電費、電話費等。
party b shall pay in full amount all the due payment including rent, water and electricity fee and telephone call charge.
13.3.5 雙方應(yīng)按下列程序進(jìn)行交接房屋。
the parties shall take over the premises in accordance with the following procedure.
十四、附則
14.1 爭議的解決 dispute resolution
因執(zhí)行本合同或與本合同有關(guān)的一切爭議,雙方應(yīng)通過友好協(xié)商解決.協(xié)商不成的,則任何一方有權(quán)將爭議提交北京仲裁委員會仲裁裁決。仲裁程序應(yīng)遵照仲裁委員會的現(xiàn)行仲裁規(guī)則進(jìn)行。仲裁期間,雙方應(yīng)繼續(xù)執(zhí)行本合同不涉及爭議的部分。
any disputes arising from the execution of or in connection with this lease agreement shall be settled through friendly consultations between the parties. in case no settlement can be reached through consultations, such dispute shall be submitted to beijing arbitration committee in accordance with its rules. during the arbitration, the parties shall continue to perform the part of this lease agreement not under dispute.
14.2 合同的修改the amendment of this lease agreement
對本合同只可通過雙方書面修改。
this lease agreement may be changed only by a written instrument signed by parties.
14.3 可分性 severability
本合同任何條款無效,不影響其他條款的效力。
the invalidity of any part of this lease agreement shall not affect the validity of other clauses.
14.4 文字
本合同以中文簽署。英文文本只做參考,不具有法律效力。
this lease agreement shall be wrote in chinese. the english version is only for reference without legal effect.
14.5 全部協(xié)議 entire agreement
本合同有其附件構(gòu)成雙方之間就本合同所涉事項達(dá)成的全部協(xié)議,取代雙方此前就合同事項達(dá)成的所有口頭和書面協(xié)議。
this lease agreement constitutes the entire contract between the parties with respect to the subject matter of this lease agreement and supersedes all prior understandings between them on such subject matter.
14.6 通知 notice
任何一方根據(jù)本合同發(fā)出的通知或其他聯(lián)系應(yīng)以中文書寫并應(yīng)通過專人送遞或掛號郵寄或以公認(rèn)的快遞服務(wù)或以傳真(應(yīng)當(dāng)有發(fā)送成功的報告)發(fā)送至另一方的下述地址。通知視為有效送達(dá)的日期按以下方法予以確定:
any notice provided for in this lease agreement shall be in chinese and shall be delivered by person, or sent by prepaid registered mail or courier, or sent by facsimile with the confirmation of successful transmission by the fax machine, transmitted or addressed to the appropriate party’s following address. the notice shall be deemed served on the following date:
14.6.1專人投遞的通知,視為于投遞之日送達(dá);
on the date of delivery if send by person;
14.6.2 以掛號郵寄的通知,視為于投郵日(郵戳日期)后第十(10)天送達(dá);
on 10th day after stamp on the registered mail if send by registered mail;
14.6.3快遞送達(dá)的通知,視為公認(rèn)的快遞服務(wù)機(jī)構(gòu)發(fā)出后第三(3)天送達(dá);on third day after the pick up by the courier if send by courier;
14.6.4 傳真發(fā)送的能知,應(yīng)視作于發(fā)送日后下一(1)個營業(yè)日送達(dá)。
if send by facsimile, on the next working day after the transmission date.
14.6.5如任何一方更改以上地址,需提前三十(30) 天書面通知另一方,該更改方生效。
if either party wishes to change the above addresses, it shall notify the other party of such change thirty (30) days in advance in order that such change will be effective.

根據(jù)國家有關(guān)法律、 法規(guī) 和 北京 市有關(guān)規(guī)定,甲、乙雙方在平等自愿的基礎(chǔ)上,經(jīng)友好協(xié)商一致,就甲方將其合法擁有的 房屋出租 給乙方使用,乙方承租使用甲方房屋事宜,訂立本合同。

一、建物地址 / location of the premises
甲方將其所有的位于北京市區(qū)的房屋及其附屬設(shè)施在良好狀態(tài)下出租給乙方使用。
party a will lease to party b the premises and attached facilities owned by itself which is located atand in good condition for .
二、房屋面積 / size of the premises
出租房屋的登記面積為平方米(建筑面積)。

三、租賃期限 / lease term
租賃期限自年月日起至年月日止,為期年,甲方應(yīng)于年月日將房屋騰空并交付乙方使用。

四、租金/ rental

2.租金按月為壹期支付第一期租金于年月日以前付清以后每期租金于每月的日以前繳納,先付后住(若乙方以匯款形式支付租金,則以匯出日為支付日,匯費由匯出方承擔(dān))甲方收到租金后予書面簽收。
payment of rental will be one installment everymonth(s).

如乙方逾期支付租金超過七天,則每天以月租金的0.5%支付滯納金如乙方逾期支付租金超過十天,則視為乙方自動退租,構(gòu)成違約,甲方有權(quán)收回房屋,并追究乙方 違約責(zé)任 。
in case the rental is more than 7 working days overdue, party b will pay 0.5 percent of monthly rental as overdue fine every day, if the rental be paid 10 days overdue, party b will be deemed to have with drawn from the premises and breach the contract. in this situation, party a has the right to take back the premises and take actions against party b’s breach.
五、押金 / deposit
1. 為確保房屋及其附屬設(shè)施之安全與完好,及租賃期內(nèi)相關(guān)費用之如期結(jié)算,乙方同意于年月日前支付給甲方押金元整,甲方在收到押金后予以書面簽收。
guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, party b will payto party a as a deposit before(month)(day)(year). party a will issue a written receipt after receiving the deposit.
2.除合同另有約定外,甲方應(yīng)于租賃關(guān)系消除且乙方遷空、點清并付清所有應(yīng)付費用后的當(dāng)天將押金全額無息退還乙方。
unless otherwise provided for by this contract, party a will return full amount of the deposit without interest on the day when this contract expires and party b clears the premises and has paid all due rental and other expenses.
3.因乙方違反本合同的規(guī)定而產(chǎn)生的 違約金 、損壞 賠償金 和其它相關(guān)費用,甲方可在押金中抵扣,不足部分乙方必須在接到甲方付款通知后十日內(nèi)補足。
in case party b breaches this contract, party a has right to deduct the default fine, compensation for damage or any other expenses from the deposit . in case the deposit is not sufficient to cover such items, party b should pay the insufficiency within ten days after receiving the written notice of payment from party a.
4.因甲方原因?qū)е乱曳綗o法在租賃期內(nèi)正常租用該物業(yè),甲方應(yīng)立即全額無息退還押金予乙方,且乙方有權(quán)追究甲方的違約責(zé)任。
if party b can’t normally use the apartment because of party a , party a should return the deposit to party b at once. and, party b has the right to ask for the compensation from party a.
六、甲方義務(wù) / obligations of party a
1. 甲方須按時將房屋及附屬設(shè)施(詳見附件)交付乙方使用。
party a will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to party b for using.
2. 房屋設(shè)施如因質(zhì)量原因、自然損耗、不可抗力或意外事件而受到損壞,甲方有修繕并承擔(dān)相關(guān)費用的責(zé)任。如甲方未在兩周內(nèi)修復(fù)該損壞物,以致乙方無法正常使用房屋設(shè)施,乙方有權(quán)終止該合約,并要求退還押金。
in case the premise and attached facilities are damaged by quality problems, natural damages or accidents, party a will be responsible to repair and pay the relevant expenses. if party a can’t repair the damaged facilities in two weeks so that party b can’t use the facilities normally, party b has the right to terminate the contract and party a must return the deposit.
3.甲方應(yīng)確保出租的房屋享有出租的權(quán)利,如租賃期內(nèi)該房屋發(fā)生所有權(quán)全部或部分轉(zhuǎn)移、設(shè)定他項物權(quán)或其他影響乙方權(quán)益的事件,甲方應(yīng)保證所有權(quán)人、他項權(quán)利人或其他影響乙方權(quán)益的第三者能繼續(xù)遵守本合同所有條款,反之如乙方權(quán)益因此遭受損害,甲方應(yīng)負(fù)賠償責(zé)任。

1.為確保房屋及其附屬設(shè)施之安全與完好,及租賃期內(nèi)相關(guān)費用之如期結(jié)算,乙方同意于______年_____月_____日前支付給甲方保證金人民幣_________元整,甲方在收到保證金后予以書面簽收。

2. 房屋設(shè)施如因質(zhì)量原因、自然損耗或災(zāi)害而受到損壞,甲方有修繕并承擔(dān)相關(guān)費用的責(zé)任。
in case the premise and attached facilities are damaged by quality problems, natural damages or disasters, party a will be responsible to repair and pay the relevant expenses.
3. 甲方應(yīng)確保出租的房屋享有出租的權(quán)利,反之如乙方權(quán)益因此遭受損害,甲方應(yīng)負(fù)賠償責(zé)任。
party a will guarantee the lease right of the premises. otherwise, party a will be responsible to compensate party b's losses.
七、 乙方義務(wù) obligations of party b
1. 乙方應(yīng)按合同的規(guī)定按時支付定金、租金及保證金。
party b will pay the rental, the deposit and other expenses on time.
2. 乙方經(jīng)甲方同意,可在房屋內(nèi)添置設(shè)備。租賃期滿后,乙方將添置的設(shè)備搬走,并保證不影響房屋的完好及正常使用。
party b may decorate the premises and add new facilities with party a's approval. when this contract expires, party b may take away the added facilities which are removable without changing the good conditions of the premises for normal use.
3. 未經(jīng)甲方同意,乙方不得將承租的房屋轉(zhuǎn)租或分租,并愛護(hù)使用該房屋如因乙方過失或過錯致使房屋及設(shè)施受損,乙方應(yīng)承擔(dān)賠償責(zé)任。
party b will not transfer the lease of the premises or sublet it without party a's approval and should take good care of the premises. otherwise, party b will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋,不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險物品。否則,如該房屋及附屬設(shè)施因此受損,乙方應(yīng)承擔(dān)全部責(zé)任。
party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise, party b will be responsible for the damages caused by it

八、 合同終止及解除的規(guī)定 termination and dissolution of the contract

在租賃期內(nèi),附表所列租賃物件的所有權(quán)屬于甲方。乙方對租賃物件只有使用權(quán),沒有所有權(quán)。乙方不得在租期內(nèi)對租賃物件進(jìn)行銷售、轉(zhuǎn)讓、轉(zhuǎn)租、抵押或采取其它任何侵犯租賃物件所有權(quán)的行為。
在租賃期滿后,甲方可同意乙方續(xù)租或按附表第11項所列名義貨價將租賃物件售與乙方。名義貨價同最后一期租金一并支付。名義貨價交清后,該租賃物件的所有權(quán)隨時轉(zhuǎn)歸乙方。
第三條租金的計算和支付
租金以租賃物件的總成本為基礎(chǔ)計算。租賃物件的總成本包括租賃物件的價款、海運費、保險費和融資利息及銀行費用等??偝杀臼羌追接猛鈪R和人民幣分別支付上述全部金額、費用的合計額。
租金用美元額度支付時:乙方應(yīng)在簽訂本合同后的30天內(nèi)將本合同預(yù)計所需要的美元額度采用銀行劃撥的方式_________次劃入甲方中國銀*總行營業(yè)部的美元額度戶頭。租金用甲方向國外支付租賃物件價款的同一貨幣計價。在每期對國外支付的租金的當(dāng)月按中國銀行的外匯牌價兌換成美元,并以貿(mào)易內(nèi)部結(jié)算價格同乙方結(jié)算。乙方用人民幣支付租金,由甲方通過中國人*銀行向乙方托收。
租金直接用外幣支付時:租金用租進(jìn)或購進(jìn)租賃物件的同一貨幣計價和支付。每期租金,由乙方在規(guī)定的支付日期內(nèi)直接匯入甲方在中國銀*總行營業(yè)部的賬戶。美元帳號:_________;日元帳號:_________;歐元帳號:_________。
租金用調(diào)劑美元支付時:租金用甲方向國外支付租賃物件價款的同一貨幣計價。在每期對國外支付租金的當(dāng)日按中國銀行的外匯牌價兌換成美元,并以中國銀行調(diào)劑美元價格同乙方結(jié)算。乙方用人民幣支付租金,由甲方通過中國人*銀行向乙方托收。
第四條租金的變更和罰款利息
在租賃期內(nèi),由于我國政府或租賃物件出口國政府增減有關(guān)稅項、稅率等因素必須變更租金時,甲方用書面通知乙方這種變更并提出新的實際租金,乙方承認(rèn)這種變更。
租賃物件的總成本與其概算租金不符時,甲方在租賃物件全部交貨后,用書面通知乙方實際租金的金額,并以此金額為準(zhǔn)對概算租金作出相應(yīng)的變更,乙方承認(rèn)這種變更。
乙方延遲支付租金時,甲方將按照延付時間計算,每日加收延付金額的萬分之五的利息。
第五條租賃物件的交貨和驗收
租賃物件在附表第4項所列的卸貨港,由甲方向乙方交貨。因政府法律、不可抗力和延遲運輸、卸貨、報關(guān)等不屬于甲方責(zé)任而造成租賃物件延遲交貨時,甲方不承擔(dān)責(zé)任。
租賃物件運達(dá)安裝或使用地點后,乙方應(yīng)在30天內(nèi)檢查租賃物件,同時將簽收蓋章后的租賃物件的驗收收據(jù)交給甲方。
如果乙方未按前項規(guī)定的時間辦理驗收,甲方則視為租賃物件已在完整狀態(tài)下由乙方驗收完畢,并視同乙方已經(jīng)將租賃物件的驗收收據(jù)交付給甲方。
如果乙方在驗收時發(fā)現(xiàn)租賃物件的型號、規(guī)格、數(shù)量和技術(shù)性能等有不符、不良或瑕疵等情況屬于賣方的責(zé)任時,乙方應(yīng)在接貨后90天內(nèi)從中國商品檢驗局取得商檢證明并應(yīng)立即將上述情況用書面通知甲方。甲方將根據(jù)與賣方簽訂的購貨協(xié)議規(guī)定的有關(guān)條款協(xié)助乙方對外進(jìn)行交涉,辦理索賠等事宜。
第六條質(zhì)量保證及事故處理
租賃物件的質(zhì)量保證條件同甲方與賣方簽訂的購貨協(xié)議中的質(zhì)量保證條件相符。如果在質(zhì)量保證期內(nèi)發(fā)生質(zhì)量問題屬于賣方責(zé)任時,甲方同意將購貨協(xié)議規(guī)定的索賠權(quán)轉(zhuǎn)讓給乙方,并協(xié)助乙方辦理索賠事宜。當(dāng)需要賣方派人來華時,甲方負(fù)責(zé)辦理邀請外商來華的手續(xù)。
在租賃期內(nèi),因乙方責(zé)任事故致使租賃物件遭受損失時,乙方應(yīng)對此承擔(dān)全部賠償責(zé)任。
如發(fā)生以上任何情況,都不影響本合同的繼續(xù)執(zhí)行和效力。
第七條租賃物件的使用、維修、保養(yǎng)和費用
租賃物件在租賃期內(nèi)由乙方使用。乙方應(yīng)負(fù)責(zé)日常維修、保養(yǎng),使設(shè)備保持良好狀態(tài),并承擔(dān)由此產(chǎn)生的全部費用。
租賃物件在安裝、保管、使用等過程中致使第三者遭受損失時,由乙方對此承擔(dān)全部責(zé)任。
租賃物件在安裝、保管、使用等過程中發(fā)生的一切費用、稅款,均由乙方負(fù)擔(dān)。
第八條租賃物件的損壞和毀滅
乙方承擔(dān)在租賃期內(nèi)發(fā)生的租賃物件的毀損和滅失的風(fēng)險。
在租賃物件發(fā)生毀損或滅失時,乙方應(yīng)立即通知甲方,甲方可選擇下列方式之一由乙方負(fù)責(zé)處理并承擔(dān)其一切費用:
將租賃物件復(fù)原或修理至完全能正常使用的狀態(tài);
更換與租賃物件同等型號、性能的部件或配件,使其能正常使用;
當(dāng)租賃物件滅失或毀損至無法修理的程度時,乙方應(yīng)按附表第9項規(guī)定的預(yù)定損失金額,賠償甲方。
第九條租賃物件的保險
條件交貨時,由甲方辦理租賃物件的進(jìn)口運輸保險手續(xù)。
租賃物件自運抵乙方安裝或使用地點之日起由甲方向中國人民保險總*司投保財產(chǎn)險,以應(yīng)付自然災(zāi)害所引起的租賃物件的毀損風(fēng)險。
在租賃期間,如發(fā)生保險事故,乙方應(yīng)立即通知甲方和中國人民保險總*司在當(dāng)?shù)氐姆止荆⑾蚣追教峁z驗報告和有關(guān)資料,會同甲方向中國人民保險總*司索賠。本條各項保險費均計入總租金內(nèi)用外幣支付,由乙方負(fù)擔(dān)。根據(jù)第八條應(yīng)由乙方支付給甲方的款項,可在保險賠償金內(nèi)減免抵償。
第十條租賃保證金
本合同一經(jīng)簽訂乙方即向甲方支付附表第8項規(guī)定的租賃保證金,作為履行本合同的保證。
租賃保證金不計利息,在租賃期滿時歸還乙方或抵最后一期租金的全部或一部分。
乙方違反本合同任何條款時,甲方將從租賃保證金中抵扣乙方應(yīng)支付給甲方的款項。
第十一條違反合同時的處理
除本合同第四條所規(guī)定的條款外,未經(jīng)對方書面同意,任何一方不得中途變更或解除合同。任何一方違反本合同將按我國《民法典》的有關(guān)條款處理。
乙方如不支付租金或違反本合同的任何條款時,甲方有權(quán)采取下列措施:
要求乙方及時付清租金或其它費用的全部或一部分。
終止本合同,收回或要求歸還租賃物件,并要求乙方賠償甲方的損失。
租賃物件交貨前,由于乙方違反本合同而給甲方造成的一切損失,乙方應(yīng)負(fù)責(zé)賠償。
第十二條經(jīng)濟(jì)擔(dān)保
乙方委托_________為本合同乙方的經(jīng)濟(jì)擔(dān)保人,不論發(fā)生何種情況乙方未按照本合同附表的要求支付租金時,乙方經(jīng)濟(jì)擔(dān)保人將按《民法典》及《中華人民共和國民法典》的規(guī)定承付乙方所欠租金。
第十三條爭議的解決
有關(guān)本合同的一切爭議,甲乙雙方及乙方的經(jīng)濟(jì)擔(dān)保人應(yīng)首先根據(jù)我國《民法典》等法規(guī)的有關(guān)條款來解決。如不能解決時,提請人民法院裁決。
甲方與外商簽訂的購貨協(xié)議或租賃合同需要仲裁時乙方有責(zé)任提供的資料并協(xié)助甲方對外進(jìn)行交涉。
第十四條本合同的附件
本合同附件是本合同不可分割的組成部分,與本合同正文具有同等法律效力。本合同附件:
租賃合同附表;
租賃委托書及附表;
租賃設(shè)備確認(rèn)書;
甲方購貨協(xié)議副本);
乙方租金償還擔(dān)保與還款計劃書。
第十五條其它
本合同正本一式二份,自甲乙雙方簽章后生效,雙方各執(zhí)一份正本為憑。合同副本除乙方經(jīng)濟(jì)擔(dān)保人必須持一份外,其它需要份數(shù)由雙方商定。
對本合同內(nèi)容的任何修改、補充或變更須采用書面形式,經(jīng)雙方加蓋公章后正式生效。本合同修改、變更部分應(yīng)視為本合同不可分割的組成部分。經(jīng)雙方確認(rèn)的往來信函、傳真、電子郵件等,將作為本合同的組成部分,具有合同的效力。
